We will become Miracom that contributes to customer success.

The Miracom I&C Homepage Terms of Service (hereinafter referred to as the "Terms") describe in detail the provisions governing the legal relationship between Miracom I&C (hereinafter referred to as "Miracom") and users in relation to the internet-related services (hereinafter referred to as the "Services") provided on the Miracom site (miracom-inc.com). Users should carefully read the Terms, and if they do not agree to the Terms, they should not agree to the Terms, register for or access the Services, or use them (hereinafter referred to as "Use"). Miracom does not keep individual copies of the Terms, so it is advisable for users to save a copy of the Terms if necessary. If the user is (a) a minor under the Civil Law or (b) a person prohibited by laws of the Republic of Korea from receiving the Services, certain service usage may be restricted.

1. Definitions

  1. 1.1. "Miracom Homepage" refers to the Miracom website operated by Miracom to provide Services, and also refers to Miracom, the operator of the Miracom website.
  2. 1.2. "User" refers to members and non-members who access the " Miracom Homepage" and receive the services provided by the " Miracom Homepage" in accordance with these Terms.

2. Amendment of Terms of Service

  1. 2.1. Miracom may modify or change the terms of service if necessary. In the event of a change in the terms, Miracom will provide notice of the revised terms and the reasons for the change 10 days in advance (30 days in advance for changes that are unfavorable or significant to users), through appropriate means such as public announcement or email notification. If a user has not provided contact information or if individual notification is difficult due to changes, it is deemed to have been notified individually by notifying the Miracom Homepage of the change terms and conditions.
  2. 2.2. If a user does not explicitly express their refusal to accept the amended terms of service or continues to use the service after the amendment, it will be deemed that the user has agreed to the amended terms. If a user does not agree to the amended terms, the use of the services provided by the Miracom Homepage may be restricted or suspended.

3. Termination of Terms of Service and Consequences of Termination

  1. 3.1. The terms of service remain in effect until either the user or Miracom terminates the use of the service.
  2. 3.2. Miracom may immediately discontinue the provision of services in the following cases:
    1. A. If the user has significantly violated the terms of service.
    2. B. If the user has clearly demonstrated a lack of intention to comply with the terms of service through actions, behaviors, statements, or other means.
    3. C. If Miracom's provider or partner providing services to Miracom, or providing services with Miracom, decides to terminate the provision of the service in whole or in part, or if Miracom's supplier or partner decides to terminate any relationship with Miracom
    4. D. If Miracom or its suppliers or partners who provide services to Miracom are required to terminate the provision of the service or part thereof in accordance with relevant laws (such as when the service or part thereof becomes illegal or is deemed illegal due to changes in applicable laws or court rulings).
  3. 3.3. The termination of the terms of service does not affect the rights, obligations, and responsibilities of the user or Miracom that have occurred or arisen during the effective period of the terms.

4. Provision of Service and Restrictions on Use

  1. 4.1. Miracom provides services to users.
  2. 4.2. Unless otherwise specified in these terms of service, users may use the services for personal and non-commercial purposes only, and they may not process, reproduce, copy, sell, trade, resell, or use all or part of the services for profit.
  3. 4.3. Users must always comply with the relevant laws or regulations of the jurisdiction governing the terms of service, including the user's residence or the jurisdiction governing the use of the service.
  4. 4.4. Miracom may, at any time, in its sole discretion, take the following actions without prior warning or notice:
    1. A. Temporarily suspend and/or terminate the provision of services or part thereof.
    2. B. Impose limits on the number of transmissions sent or received by users or on the size of storage space used to provide the services or part thereof.
    3. C. Pre-screen, review, flag, filter, modify, reject, reject, block access, or remove some or all of the audio and sound files, data files, images, music, photos, software, videos, and written text (referred to as “Content”) provided through the Services.
  5. 4.5. Miracom will (a) ensure that the Service is provided to you without undue interruptions, failures or delays, and (b) makes reasonable efforts to minimize interruptions, failures or delays in the Services.
  6. 4.6. Users are prohibited from using any services other than those provided by Miracom through the interface. They should not use automated tools (including software and/or hardware), features, services, or any other means (including scripts or web crawlers) to access the service.
  7. 4.7. Users are required to comply with all instructions and guidelines provided by Miracom in relation to the service. They should not engage in any activities that may cause disruption or interruption to the servers, networks, or other equipment associated with the service.
  8. 4.8. Some services may be accessible or particularly useful through a mobile network. Users should be aware that network providers may impose charges for network access, network connection duration of mobile phones/mobile devices, and data usage for service purposes. It is the user's responsibility to confirm with the network provider regarding the applicability of such charges before using the service.

5. User Notification

In the case of notifications to an unspecified number of users, "Miracom website" may choose to post the notification on the NOTICE section of the " Miracom Homepage" for at least one week, instead of individual notifications.

6. Advertising

Users agree to the placement or presentation of promotional advertisements, promotional materials, or other content and materials, including products, by Miracom as part of the service.

7. Content Provided in the Service and Content Rights

  1. 7.1. The creators bear all responsibilities and rights for the content provided in the service or accessible through the service or as part of the service usage. The content may include advertisements, promotional materials, documents, or other sponsored content.
  2. 7.2. The content may be protected by the ownership or intellectual property rights of third parties. Users are not allowed to modify, lease, rent, sublease, sell, distribute, or create derivative works based on the whole or part of the content or grant a license to the content.
  3. 7.3. Users understand that by using the service, they may be exposed to unpleasant, inappropriate, or offensive content, and they fully assume the risks associated with such exposure and the use of the service.

8. User Content and User Content License

  1. 8.1. By providing user content through methods such as uploading, transmitting, generating, posting, or displaying user content on or through the service, users grant Miracom permission to use their user content for the provision of the service. Furthermore, users grant Miracom a non-exclusive license ("User Content License") to copy, reproduce, adapt, modify, edit, distribute, translate, digitize, publish, publicly perform, and publicly display the user content worldwide, free of charge.
  2. 8.2. Miracom uses the user content license within the scope of the service's purpose.
  3. 8.3. Miracom does not claim ownership of user content provided by users on or through the service, and retains copyright and other rights to the user content provided by users.
  4. 8.4. Users bear sole responsibility for the protection and enforcement of intellectual property rights that exist in or are associated with the user content, and Miracom has no obligation to protect and enforce user content on behalf of the users.

9. Miracom License

  1. 9.1. Miracom and/or its suppliers or licensors, regardless of registration, are the owners of all rights, including intellectual property rights, in relation to the Service, and hold the authority over such rights.
  2. 9.2. Miracom grants users a worldwide, non-transferable, non-assignable, non-exclusive, personal, and free-of-charge license ("Miracom License") to use the Service, including all software, products, or materials provided to users as part of the service, in the form in which they are provided. Through the Miracom License, users can benefit from the Service in accordance with these Terms of Use.
  3. 9.3. Except for the rights granted to users under these Terms of Use, Miracom retains all rights related to the Service.
  4. 9.4. Users are not permitted to copy, edit, modify, alter, create derivative works of, reverse engineer, decompile, or extract the source code of Miracom's service (or any part thereof), or grant or sublicense such rights to third parties, without prior written consent from Miracom.

10. Trademarks

  1. 10.1. Miracom grants users the right to use the Service, including content and other services, in accordance with the terms and conditions set by Miracom. However, it does not grant any rights to Miracom's trade names, trademarks, logos, copyrighted works, or other proprietary rights.
  2. 10.2. Users are not allowed to remove, cover, conceal, modify, or otherwise alter or change any ownership markings, symbols, trademarks, service marks, trade names, logos, or other markings of Miracom or third parties that are associated with or attached to or included in the Service, including copyright and trademark notices.
  3. 10.3. Users are not permitted to use Miracom's or third parties' trade names, trademarks, service marks, trade names, logos, or other markings in a manner that is intended or likely to deceive or confuse others, or to create the impression that they are the owner, licensee, or authorized user (as the case may be) of such marks, names, or logos, or in any manner that could cause deception or confusion.

11. User Warranty and Representation

  1. 11.1. The user is solely responsible for all consequences arising from the provided user content and its related matters (including any loss or damages incurred by Miracom). In particular, the user warrants and represents to Miracom as follows:
    1. A. The user is the owner of all rights to the user content or has the authority to grant Miracom a license to use the user content in any other way.
    2. B. The user content does not infringe upon any intellectual property rights or other rights of third parties.
    3. C. The user content does not include any illegal materials, such as inaccurate, obscene, violent, lewd, threatening, or defamatory content towards others.
    4. D. The user content does not include any viruses, harmful software, codes, or similar means and devices that may impair or damage the functionality and performance of the devices accessing the service or cause harm, disable, or otherwise affect them. It does not matter whether these devices belong to Miracom, other users, servers, network nodes, or similar equipment belonging to third parties.
    5. E. The user content complies with age classification rules and requirements according to the laws of all countries, including the user's country of residence or the country where the service is used, including accurate and appropriate user content classification and evaluation if necessary.
    6. F. Miracom is not obligated to pay any kind of financial share (including licensing fees, charges, or others) to any third party (especially fee collection organizations) for the use of user content by Miracom.
  2. 11.2. The user agrees to indemnify Miracom and hold it harmless from any loss, damages, liabilities, or expenses incurred by Miracom as a result of a breach of these warranties, and agrees not to cause harm to Miracom.

12. Miracom's Warranty and Representation

  1. 12.1. Unless otherwise specified in these Terms of Use, Miracom and its suppliers, partners, and/or licensors make no warranties or conditions, whether express or implied, and expressly disclaim all warranties and conditions. In particular, Miracom and its suppliers, partners, and/or licensors do not warrant or represent, including but not limited to, the following:
    1. A. That the service is suitable for any purpose, meets the user's requirements, or is provided without any errors or defects, or that the service complies with any quality standards.
    2. B. That the service is always available to the user and provided without interruption, failure, or delay.
    3. C. That the service does not infringe upon copyrights or violate the law in the user's country of residence or anywhere in the world.
    4. D. That all information (verbal or written) acquired by the user from Miracom or obtained through the service (including data or products) is appropriate, accurate, complete, or reliable.
    5. E. That all defects in the service, including the performance, operation, or functionality of the service or software provided to the user as part of the service, will be corrected, rectified, or otherwise remedied.
  2. 12.2. All documents or materials (including software and firmware updates) downloaded, installed, or obtained in any other way through the use of the service are provided by Miracom "as is," and the associated risks are assumed by the user. Miracom is not responsible for any damage to mobile phones, software of mobile phones, computer systems, or other devices, or for any loss of data caused by the downloading and/or use of such documents and/or materials.

13. User's Responsibility

  1. 13.1. The user is solely responsible for any violations of the following obligations:
    1. A. Terms and Conditions
    2. B. Applicable laws of the jurisdiction of the user's residence or the location of service usage.
  2. 13.2. The user assumes full responsibility for the consequences of such violations (including any loss or damages that may be incurred by Miracom or third parties). Miracom does not assume any responsibility for such violations or their impact on the user or third parties.

14. Responsibilities of Miracom

  1. 14.1. Notwithstanding the provisions of clause 3, Any direct or indirect warranties or representations regarding the service, regardless of legal basis or theory of liability, even if Miracom was aware of such damages or losses
    1. A. Any indirect, incidental, special, or consequential damages.
    2. B. Any loss of direct or indirect income, business, actual or anticipated profits, opportunities, goodwill, or reputation.
    3. C. Any damages and/or losses to any data, whether direct or indirect.
    4. D. Any loss or damage arising from the following:
    5. I. Breach of the terms of use of other contracts between Miracom and the user due to the fault of Miracom or its suppliers, partners, and/or licensors.
    6. II. (a) Relationships or transactions between the user and advertisers or sponsors whose advertisements (including promotional materials) are provided as part of the service (including software, information, documents, and materials provided to the user during or in the course of using the service) or (b) the user's reliance on the suitability, accuracy, completeness, reliability, or existence of such advertisements.
    7. III. Changes, modifications, expansions, or limitations to the service (including discontinuation of access to the user's registered data) or permanent or temporary suspension of the provision of the service (or any part thereof).
    8. IV. Use of data by someone other than the user (regardless of whether the user was aware of it). In this case, the user bears full responsibility for any damages and/or losses caused by the use of the user's data by someone else, and Miracom shall not be liable for compensating such damages and/or losses.
  2. 14.2. In the event of Miracom's breach of these terms, Miracom's liability is limited to the extent of the damages that Miracom would typically foresee at the time of entering into the terms.
  3. 14.3. No part of the terms excludes or limits the liability of Miracom for the following:
    1. A. Liability for death, personal injury, or liability under the Product Liability Act.
    2. B. No warranty or liability for damages or losses that cannot be legally excluded or limited under applicable laws. If the laws of the user's jurisdiction do not allow for the exclusion or limitation of liability for incidental or consequential damages or losses resulting from negligence, breach of contract, or breach of implied conditions, the liability and warranties of the user and Miracom applicable in such jurisdiction shall be limited to the maximum extent permitted by applicable laws.

15. Force Majeure

  1. 15.1. Miracom shall not be held responsible for any failure or delay in fulfilling its obligations under the terms due to an event beyond Miracom's reasonable control ("Force Majeure Event"), including, but not limited to (a) unavailability of public or private communication networks, (b) governmental laws, orders, regulations, or restrictions, or (c) strikes, plant closures, or other labor disputes, civil unrest, riots, invasions, terrorist attacks or threats of terrorist attacks, war (whether declared or not), or any natural disasters, and shall not be limited thereto.
  2. 15.2. The performance of Miracom's obligations under the terms shall be considered temporarily suspended for the duration of the force majeure event, and the time for performance shall be extended by the duration of such event.
  3. 15.3. Miracom shall make reasonable efforts to find a solution to overcome the force majeure event and fulfill its obligations under the terms, notwithstanding the occurrence of the force majeure event.

16. Third-Party Website and Other Content Links

The Service may contain hyperlinks to third-party content resources and services (“External Resources”), including other websites. Miracom is not responsible for the content (including advertisements, products, and other materials) provided, available, or displayed to users on such external resources and is not be liable for any damages or losses caused by or resulting from the content provided, available, or displayed to users on such external resources, including but not limited to the user's reliance on the availability, accuracy, applicability, or completeness of the content.

17. Procedure for Claims and Notices for violations of Intellectual property rights and other rights

  1. 17.1. Miracom may, in accordance with applicable laws, block (temporarily or permanently) access by users who repeatedly infringe copyright or violate other relevant laws in response to notices alleging copyright infringement or other legal violations.
  2. 17.2. If the user receives a notice regarding copyright infringement or other legal violations caused by the service, the content provided with the service, or user-generated content, the user must send such notice to [miracom@miracom-inc.com].

18. Confidentiality

  1. 18.1. The Service may include Miracom's confidential information, which includes all information designated as confidential or which can be reasonably understood to be confidential or provided to the user as confidential for any other reason (not limited to trade secrets or business secrets).
  2. 18.2. Unless otherwise specified in the Terms, the user shall (a) keep such information confidential indefinitely and not disclose it without Miracom's prior written consent, and (b) not record or otherwise use such information except as necessary for the purposes of these Terms.
  3. 18.3. If required by applicable laws to disclose Miracom's confidential information, this provision does not apply. In such cases, the user must immediately notify Miracom of the disclosure of Miracom's confidential information permitted by the applicable laws.

19. Compensation for damage and Dispute Resolution

For the resolution of disputes and remedies for damages related to content businesses or the use of content among the services provided, users may apply for dispute resolution to the Content Dispute Resolution Committee in accordance with Article 30 of the Content Industry Promotion Act.

20. General Provisions

  1. 20.1. Only these Terms shall apply to the legal relationship between Miracom and the user. Any statement, declaration, or agreement made or concluded elsewhere, whether directly or indirectly, in writing or verbally, or through advertisements, shall not be binding on Miracom unless expressly confirmed to the user in writing.
  2. 20.2. Miracom may send notifications regarding changes to these Terms of Use or any notices related to the service, including but not limited to the service or any part thereof, to the user via email, regular mail, or by posting them on the service or through the service.
  3. 20.3. The failure of Miracom to exercise or enforce any legal rights or remedies explicitly provided in these Terms or permitted by applicable laws shall not be construed as a formal waiver of such rights or remedies, and Miracom may continue to exercise such rights or remedies.
  4. 20.4. Even if any provision of these Terms is determined to be invalid, illegal, or unenforceable (in whole or in part) by a competent court, the validity, legality, and enforceability of the remaining provisions shall not be affected.
  5. 20.5. Without Miracom's prior written consent, the user may not transfer, assign, pledge, or dispose of the user's rights or obligations arising from individually concluded agreements between the user and Miracom or agreements under these Terms of Use to any third party.
  6. 20.6. According to the terms and conditions, the relationship between the user and Miracom is governed by the laws of the Republic of Korea, regardless of international legal provisions. Any legal disputes regarding the services between Miracom and the user shall be under the exclusive jurisdiction of the court that has jurisdiction over the user's address at the time of filing the lawsuit, or if the address is unknown, the court that has jurisdiction over the user's place of residence. However, if the user's address or place of residence is not clearly identifiable at the time of filing the lawsuit, the exclusive jurisdiction shall be determined as the Seoul Central District Court.
